1. Acceptance of Terms

By accessing gerad.app or engaging our consulting services, you agree to these Terms. If you do not agree, you should not use the website or services.

2. Service Scope

Consulting services are provided according to approved proposals, statements of work, or written agreements that define scope, milestones, deliverables, assumptions, and timelines.

3. Client Responsibilities

• Provide timely access to required systems, accounts, and stakeholders.
• Supply accurate business and technical information.
• Review deliverables and provide feedback within agreed timeframes.
• Maintain lawful rights to all client-provided assets and data.

4. Fees and Payments

Fees, payment schedules, and invoicing terms are stated in project agreements. Late payments may delay delivery and may be subject to additional charges where legally permitted.

5. Changes and Out-of-Scope Work

Requests beyond agreed scope require written change approval. Timeline or fee adjustments may apply based on complexity and impact.

6. Intellectual Property

Unless otherwise agreed, ownership of final paid deliverables transfers to the client upon full payment. We retain ownership of pre-existing tools, reusable frameworks, and general know-how.

7. Confidentiality

Both parties agree to protect confidential information disclosed during engagement and to use it only for authorized project purposes.

8. Warranties and Disclaimers

Services are provided in a professional manner consistent with industry standards. Except as expressly stated in writing, services and website content are provided “as is,” without implied warranties.

9. Limitation of Liability

To the fullest extent permitted by law, liability is limited to the fees paid for the specific services giving rise to a claim. Neither party is liable for indirect or consequential damages.

10. Termination

Either party may terminate an engagement in accordance with the project agreement. The client remains responsible for fees due for completed work and authorized in-progress work.

11. Governing Law

Applicable governing law and dispute resolution terms are defined in each project agreement unless required otherwise by law.
